These Terms of Service (“Terms”) govern your access to and use of Cobi’s websites, software, applications, APIs, documentation and related services (collectively, the “Services”).
The Services are provided by Cobi AI Limited, a company established in the Dubai International Financial Centre, Dubai, United Arab Emirates (“Cobi”, “we”, “us” or “our”).
By accessing or using the Services, creating an account, or otherwise accepting these Terms, you agree to be bound by them.
If you use the Services on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms. In that case, “you” refers to that organisation.
The Services are intended for business and professional use.
If you have entered into a separate written agreement with Cobi that governs your use of the Services, that agreement will apply and will take precedence over these Terms where there is a conflict.

Using Cobi
Cobi provides AI-powered software designed to help organisations understand customer, product and business data, identify meaningful changes and opportunities, generate insights and recommendations, and take or automate actions through connected systems.
Features and availability may vary by plan, account or deployment.
You may only use the Services in accordance with these Terms and applicable law.
You are responsible for ensuring that anyone you authorise to use the Services through your organisation complies with these Terms.

Your Account
You may need an account to access certain Services.
You are responsible for:
- keeping your account information accurate;
- protecting your account credentials;
- controlling who has access to your account; and
- activity carried out through your account.
Please notify us promptly if you believe your account has been compromised or used without authorisation.

Your Data
“Customer Data” means data, information or content that you provide, upload, connect or otherwise make available to Cobi through the Services.
You retain ownership of your Customer Data.
You grant Cobi the limited rights necessary to access, process, transmit, store and use Customer Data to:
- provide and operate the Services;
- perform actions or workflows that you configure or authorise;
- maintain, secure and support the Services;
- prevent fraud, abuse or security threats;
- comply with applicable law; and
- fulfil our obligations to you.
You are responsible for ensuring that you have the rights, permissions and lawful basis necessary to provide Customer Data to Cobi and allow it to be processed through the Services.
Where Cobi processes personal data on your behalf, additional terms may apply under a Data Processing Agreement.

AI and Outputs
Some Cobi features use artificial intelligence and machine learning to analyse information and generate insights, recommendations, summaries, predictions, classifications, segments, suggested actions and other results (“Outputs”).
AI systems are probabilistic. Outputs may sometimes be inaccurate, incomplete or unsuitable for a particular purpose.
You are responsible for evaluating Outputs before relying on them where the consequences of an error could be material.
Cobi does not guarantee that every Output will be accurate, complete or unique.
The Services and Outputs are not intended to replace legal, financial, medical, regulatory or other professional advice.
Your data and model training
Cobi does not use Customer Data to train third-party general-purpose or foundation AI models.
We may use aggregated or de-identified technical and usage information to operate, secure, analyse and improve the Services, provided that such information does not reasonably identify you, your organisation or an individual.

Automated Actions
Certain Services may allow you to configure Cobi to recommend, initiate or execute actions through connected systems or third-party services.
By enabling these features, you authorise Cobi to operate within the permissions, rules and parameters that you configure.
You remain responsible for deciding which automated functionality to enable, setting appropriate controls, and determining when human review is appropriate or required.
Cobi does not guarantee that an automated action will produce a particular business or commercial outcome.

Third-Party Services
Cobi may connect with third-party services such as databases, data warehouses, CRMs, payment platforms, analytics tools, cloud services, communication tools and AI providers.
When you connect a third-party service, you authorise Cobi to interact with it as necessary to provide the functionality you request.
Your use of third-party services may be subject to separate terms imposed by those providers.
Cobi does not control third-party services and is not responsible for their availability, security, functionality or changes.

Acceptable Use
You must not use the Services to:
- violate applicable law;
- infringe the rights of another person;
- gain unauthorised access to systems, accounts or data;
- interfere with or disrupt the Services;
- introduce malware or harmful code;
- bypass security controls or usage restrictions;
- probe or test vulnerabilities without permission;
- reverse engineer or attempt to derive non-public source code or components, except where applicable law expressly permits it;
- scrape or systematically extract data from the Services outside functionality made available by Cobi;
- resell or sublicense the Services without Cobi’s permission;
- use Cobi’s non-public technology, Outputs or documentation to build or train a competing product;
- facilitate unlawful surveillance, discrimination or profiling; or
- use the Services in a way that creates a material security, legal or operational risk for Cobi or others.
We may restrict or suspend access where reasonably necessary to prevent misuse, protect the Services or comply with law.

Intellectual Property
Cobi and its licensors retain all rights in the Services and their underlying technology, including software, models, workflows, methodologies, interfaces, documentation, designs, branding and other intellectual property.
These Terms give you the right to use the Services but do not transfer ownership of Cobi technology to you.
As between you and Cobi, and to the extent permitted by law, you may use Outputs generated specifically for you through your authorised use of the Services.
This does not transfer ownership of Cobi’s underlying software, models, methodologies or other technology.
If you provide feedback or suggestions about Cobi, we may use them without restriction or obligation to you. Feedback does not include Customer Data or confidential information.

Confidentiality
If you or Cobi disclose information that is marked confidential or that reasonably should be understood to be confidential, each party will use reasonable care to protect that information and use it only in connection with the Services.
Customer Data is your confidential information.
Cobi’s non-public technology, security information and product materials are Cobi’s confidential information.
This section does not apply to information that is publicly available through no breach of obligation, independently developed, lawfully obtained from another source or required to be disclosed by law.
Separate confidentiality agreements will take precedence where applicable.

Security and Privacy
Cobi maintains administrative, technical and organisational safeguards designed to protect information processed through the Services.
No online service can guarantee absolute security.
You are responsible for maintaining appropriate account permissions, protecting credentials and securely configuring systems and integrations under your control.
Our handling of personal data is described in our Privacy Policy.
Additional security or data protection commitments may apply under a separate Enterprise agreement, Data Processing Agreement or security schedule.

Beta and Preview Features
We may make beta, preview, experimental or early-access features available from time to time.
These features may change, contain errors or be discontinued.
Unless we agree otherwise, beta and preview features are provided on an “as available” basis and should not be relied upon for critical operations.

Paid Services
Some Services require payment.
Pricing, subscription terms, usage limits and other commercial terms will be presented when you purchase the Services or agreed separately in writing.
You are responsible for applicable fees and taxes.
Unless otherwise stated, fees are non-refundable except where required by law.
If a subscription automatically renews, the applicable renewal and cancellation terms will be provided when you subscribe.

Changes to the Services
Cobi may modify or improve the Services over time.
We may add, change or remove functionality where reasonably necessary to improve the product, address technical or security requirements, comply with law or reflect changes in third-party services.
For paid Services, we will not intentionally materially reduce the overall core functionality of the purchased Service during an active committed term without reasonable justification.

Suspension and Termination
We may suspend or restrict access to the Services where reasonably necessary if:
- you materially breach these Terms;
- your use creates a security or legal risk;
- fees remain overdue after reasonable notice;
- continued access could harm Cobi, another customer or a third party; or
- suspension is required by law.
Where practicable, we will give you notice and an opportunity to resolve the issue.
You may stop using the Services at any time.
Paid subscriptions may be terminated or non-renewed in accordance with the applicable subscription or commercial terms.
Following termination, your access to the affected Services may end. Customer Data will be handled in accordance with applicable agreements and Cobi’s data retention practices.

Disclaimers
Except where we expressly agree otherwise in writing, the Services are provided “as is” and “as available”.
To the maximum extent permitted by law, Cobi disclaims warranties that are not expressly stated in these Terms.
Cobi does not guarantee that:
- the Services will always be uninterrupted or error-free;
- all defects will be corrected;
- Outputs will always be accurate or complete;
- third-party integrations will always remain available; or
- use of the Services will produce a particular business or commercial result.
Nothing in these Terms limits rights that cannot lawfully be limited.

Limitation of Liability
To the maximum extent permitted by law, neither you nor Cobi will be liable to the other for indirect, special, incidental, punitive or consequential damages, or for loss of profits, revenue, goodwill, anticipated savings or business opportunity arising from these Terms or the Services.
Cobi’s total aggregate liability arising from or relating to these Terms or the Services will not exceed:
- for paid Services, the amount you paid or were required to pay Cobi for the affected Services during the 12 months before the event giving rise to the claim; or
- for free Services, US$100.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
A separate written agreement may provide different liability terms, in which case that agreement will apply.

Changes to These Terms
We may update these Terms from time to time to reflect changes to the Services, applicable law or our business practices.
If we make a material change that adversely affects your rights, we will provide reasonable notice, such as through the Services or by email.
Updated Terms will state their effective date.
Your continued use of the Services after updated Terms take effect constitutes acceptance of them, except where a separate agreement or applicable law requires otherwise.

Governing Law
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC).
The DIFC Courts will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, unless you and Cobi agree otherwise in writing.
Nothing prevents either party from seeking urgent injunctive or interim relief where necessary to protect confidential information, intellectual property or systems.

General
These Terms, together with any documents expressly incorporated into them, constitute the agreement between you and Cobi regarding the Services covered by these Terms.
If a separate written agreement between you and Cobi conflicts with these Terms, the separate agreement will prevail.
You may not assign these Terms without Cobi’s prior written consent, except in connection with a permitted corporate reorganisation, merger or sale of substantially all relevant assets.
Cobi may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, corporate reorganisation or sale of its business or assets.
If any provision of these Terms is unenforceable, the remaining provisions will continue in effect.
Failure to enforce a provision does not waive the right to enforce it later.
These Terms do not create a partnership, joint venture, agency or employment relationship.
